Government 

Officials 

include those individuals, who are: (a) officials or employees of a government, government   agency or regulatory authority; 

(b) officials of a political party and candidates for   public office; 

 (c) directors, officers and   employees of government-owned or government controlled enterprises and   institutions, including, without limitation, stateowned enterprises, public   hospitals, dispensaries, nursing and retirement homes and other healthcare   institutions; 

 (d) officials and employees of public international   organisations; 

 (e) people acting on behalf   of any of the foregoing, even though they may not be employees of the   government or any of the public organisations referred to above (each a Government Affiliate); or 

(f) close relatives by   blood, marriage or otherwise (for example, parent, sibling, spouse, partner   or child) or close business associate of any of the above. 

Shareholder

means (a) an   individual, entity, joint venture, organization or other business entity that   owns any equity interests of a company at issue in case of privately owned   companies; or (b) an individual, entity, joint venture, organization or other   business entity that owns five percent or more of the voting interests of a   company at issue in case of publicly traded companies. 

Subcontractor means the   subcontractors, sub-distributors, agents or other intermediaries that the   business partner may engage in connection with its business arrangement or   proposed business arrangement with CMC.
